Terms of Service

1. Acceptance of Terms

By accessing or using VaultGraph ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

VaultGraph provides a managed Model Context Protocol ("MCP") gateway that lets merchants expose their e-commerce stack — catalog, cart, checkout, and orders — to AI assistants. The Service makes merchant offerings discoverable and transactable across external AI assistants (such as ChatGPT and Claude) through one managed MCP endpoint.

The Service does not itself process payments, ship goods, or fulfil orders. Those actions are executed by the merchant's existing commerce stack and its third-party providers.

3. Merchant Accounts and Registration

To use the Service as a merchant, you must register a workspace. You agree to:

  • Provide accurate, current, and complete information during registration, including business identity and contact details
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials and API keys
  • Accept responsibility for all activity that occurs through your workspace, including actions taken by AI assistants you authorize
  • Notify us immediately of any unauthorized use of your account or suspected compromise of credentials

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations, including consumer-protection, advertising, tax, sanctions, and export-control laws
  • Sell goods or services that you are not legally authorized to sell, or that violate the policies of the AI assistants or commerce platforms you connect to
  • Infringe upon the rights of others, including intellectual-property, privacy, or publicity rights
  • Misrepresent product availability, pricing, shipping, or fulfilment terms
  • Transmit malicious code, attempt to bypass security controls, or interfere with the operation of the Service
  • Use the Service to spam, scrape, or otherwise abuse third-party AI assistants or external systems
  • Resell, sublicense, or expose the Service to unauthorized third parties

5. Merchant Data and Catalog Content

You retain all rights in the merchant content you submit to the Service, including product catalogs, descriptions, pricing, imagery, and inventory data ("Merchant Data"). You grant VaultGraph a worldwide, non-exclusive, royalty-free license to host, transmit, transform, and expose Merchant Data through the Service — including via the public MCP gateway and to AI assistants that interact with your workspace — solely as necessary to provide the Service.

You are responsible for the accuracy, lawfulness, and currency of Merchant Data. You confirm that you have all rights and consents needed to expose Merchant Data to AI assistants and their end users.

6. AI Assistant Actions and Order Authority

The Service enables AI assistants to take actions on behalf of shoppers, including searching your catalog, building carts, initiating checkouts, and surfacing order status. By enabling an AI surface, you authorize VaultGraph to translate AI assistant requests into calls against your connected commerce stack, subject to the limits and permissions you configure.

You are solely responsible for orders accepted through your commerce stack, including fulfilment, refunds, taxes, and consumer disputes. VaultGraph is not a party to the underlying sale between you and the shopper.

7. Audit Logs and Signed Receipts

The Service may produce signed, tamper-evident records of AI assistant actions taken through your workspace (for example, cart updates and checkout intents). These records are intended to give you an auditable trail of agent activity. You acknowledge that such records describe the AI interaction with the Service and are not a substitute for your own order or financial records.

8. Intellectual Property

The Service and its original content, features, and functionality — including the VaultGraph SDK, MCP gateway, and related interfaces — are owned by VaultGraph and are protected by international copyright, trademark, patent, trade-secret, and other intellectual property laws. You retain ownership of your Merchant Data and grant VaultGraph the license described in Section 5.

9. Third-Party Services

The Service integrates with third-party platforms, including commerce backends (such as headless commerce providers or hosted storefronts), payment processors, and external AI assistants. Your use of those third-party services is governed by their respective terms. VaultGraph is not responsible for the availability, accuracy, or behavior of third-party services.

10. Fees and Payment

Certain plans and features of the Service may require payment of fees. You agree to pay all applicable fees as described at the time of purchase or in your order form. All fees are non-refundable unless otherwise stated. We may change pricing with reasonable notice for subsequent renewal periods.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULTGRAPH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VAULTGRAPH DOES NOT WARRANT THAT AI ASSISTANTS WILL ACT CORRECTLY, CONVERT SHOPPERS, OR MEET ANY SPECIFIC COMMERCIAL OUTCOME.

IN NO EVENT SHALL VAULTGRAPH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless VaultGraph and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or connected to your use of the Service, your Merchant Data, the goods or services you sell through the Service, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service if you breach these Terms or if continued provision presents legal, security, or operational risk. Upon termination, your right to use the Service will immediately cease. We will make a reasonable effort to let you export your Merchant Data unless prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VaultGraph operates, without regard to its conflict-of-law provisions.
